1. Definitions and interpretation In these Terms: "Platform" means the learn.co.uk website, academy studio, course builder, storefronts, student areas and related software; "Creator" or "Academy Owner" means a person or business that subscribes to the Platform to create, sell or deliver courses; "Student" means a person who accesses a course through a Creator's academy; "Creator Content" means courses, lessons, videos, documents, questions, images, branding and other material a Creator uploads or publishes; "Subscription" means a paid package giving access to Creator features; "AI Tools" means features that use artificial intelligence to suggest or generate content. Headings do not affect interpretation. "Including" means "including without limitation".
2. Who we are and how to contact us The platform is operated by ⟦not yet provided⟧ (company number ⟦not yet provided⟧, registered in ⟦not yet provided⟧), whose registered office is at ⟦not yet provided⟧ ("learn.co.uk", "we", "us" or "our"). You can contact us at ⟦not yet provided⟧. Billing questions go to ⟦not yet provided⟧, privacy questions to ⟦not yet provided⟧ and complaints to ⟦not yet provided⟧.
3. Description of services learn.co.uk supplies software. We provide tools that let Creators build courses, lessons and assessments, upload media, use AI Tools to draft questions, design certificates, run a branded academy page, manage students and enrolments, issue invoices and review results.
We supply the technology. Creators create and sell their own courses. We do not author, accredit, endorse, regulate or verify independently created courses, and a course appearing on the Platform is not a statement by us about its quality, accuracy or recognition by any professional or awarding body.
Some features differ between packages. The features included in each package are described on our Pricing page at the time you subscribe.
4. Eligibility and account registration You must be at least 18 years old and able to enter a binding contract to open a Creator account. If you register on behalf of a business, you confirm you are authorised to bind that business. You must give accurate information and keep it up to date.
5. Account security You are responsible for keeping your login details confidential and for activity under your account. Tell us promptly at ⟦not yet provided⟧ if you suspect unauthorised access. You may add team members to your academy within your package's seat limit; you are responsible for what they do.
6. Subscription plans Creator packages are offered monthly, and some packages may be offered with a longer prepaid period as a promotion. Package prices, limits and features are shown on the Pricing page and at checkout before you pay.
7. Fees and payment obligations You agree to pay the fees shown at checkout. Payments are taken by our payment provider. Prices are shown in pounds sterling unless stated otherwise. Our Subscription and Billing Policy forms part of these Terms.
8. Automatic renewals Subscriptions renew automatically at the end of each billing period at the then-current price for your package, until cancelled. The renewal interval and amount are shown at checkout. We will give you reasonable advance notice of any price change before it applies to you.
9. Subscription cancellation You can cancel at any time. Unless the law requires otherwise, cancellation takes effect at the end of the current billing period and you keep access until then. Your statutory rights are explained in our Refund and Cancellation Policy.
10. Free trials and promotions Where we offer a trial or promotion, its terms will be shown clearly before you sign up, including when paid billing begins. We do not currently offer free trials.
11. Fair usage and service limits Packages include limits, for example on courses, students, team seats and AI Tool runs. Limits are shown on the Pricing page. We may take reasonable steps to stop use that threatens the stability or security of the Platform, and will tell you where practical.
12. Course creator responsibilities Creators are solely responsible for their Creator Content, the claims made about their courses, how courses are delivered, the prices they set, their relationship with their Students, and their compliance with consumer, advertising, tax, data protection and sector-specific law. The Course Creator Agreement forms part of these Terms for Creators.
13. Student relationships When a Student buys or joins a course, the contract for that course is between the Student and the Creator. We are not a party to that contract, except for our own obligations in providing the Platform.
14. Intellectual property ownership Creators keep ownership of their Creator Content. You give us a non-exclusive, worldwide, royalty-free licence to host, copy, store, transcode, display and transmit your Creator Content only as needed to operate, secure and improve the Platform and to provide it to you and your Students. We own the Platform software, design and our trade marks.
15. AI-generated content AI Tools produce suggestions that may be inaccurate, incomplete or unsuitable. You must review, correct and approve AI output before publishing it. Our AI Usage Policy forms part of these Terms.
16. Uploaded course materials You must only upload material you own or have permission to use. We may remove material that we reasonably believe is unlawful or breaches these Terms.
17. Payment processing Package payments are processed by Stripe. Where a Creator takes payment from Students, the Creator is the seller and is responsible for that transaction, refunds and any taxes due.
18. Platform availability and maintenance We aim to keep the Platform available and will try to schedule maintenance to minimise disruption, but we do not promise uninterrupted or error-free service. We will carry out our services with reasonable care and skill.
19. Third-party integrations The Platform relies on third-party services, such as hosting, payment and AI providers. Their availability is not wholly within our control. Third-party terms may also apply to some features.
20. Data protection Our Privacy Policy explains how we use personal data. Where we process personal data on behalf of a Creator, our Data Processing Agreement applies.
21. Prohibited activities You must follow our Acceptable Use Policy and Community Guidelines.
22. Suspension and termination We may suspend or end access if you seriously or repeatedly breach these Terms, fail to pay, or if the law requires it. Where reasonable we will warn you first and give you a chance to fix the problem. You may end these Terms by cancelling your Subscription and closing your account.
23. Data export and retention Before closing your account you can download records available in your studio, such as your student list. After closure we keep data only as described in the Privacy Policy and then delete or anonymise it.
24. Liability Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded by law.
For business customers, and subject to the paragraph above: we are not liable for loss of profits, revenue, business, goodwill or data, or for indirect or consequential loss; and our total liability in any 12-month period is limited to the fees you paid us in that period.
For consumers: we are responsible for loss you suffer that is a foreseeable result of our breach of these Terms or our failure to use reasonable care and skill. We are not responsible for loss that was not foreseeable. We do not supply the Platform for business purposes to consumers.
25. Consumer statutory rights If you are a consumer, nothing in these Terms affects your rights under the Consumer Rights Act 2015 or the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
26. Complaints and dispute resolution Please contact ⟦not yet provided⟧ first so we can try to resolve any issue. Our Complaints Policy explains the process. Consumers may also use alternative dispute resolution or the courts.
27. Changes to the service and these Terms We may update the Platform and these Terms. If a change materially affects you, we will tell you in advance. If you do not accept a material change, you may cancel before it takes effect.
28. Governing law and jurisdiction These Terms are governed by the law of England and Wales. The courts of England and Wales have jurisdiction, except that consumers living in Scotland or Northern Ireland may bring proceedings in their local courts.
